You make the inital capital payment in the manner that is the most appropriate for you: cashless payment order via e-zaba, m-zaba or in branches, where you can make the deposit in cash as well.
Conditions
Share capital funds can be paid by domestic and foreign natural persons and legal entities. Legal persons pay the share capital as a non-cash payment.
Required documents
After the payment of the initial capital, the Bank will issue the Initial Capital Deposit Payment Certificate. Certificate needs to be delivered, in addition to other proscribed documentation, to the institution competent for registration of legal persons, in accordance with the type of the legal person in foundation.
The following need to be submitted for issuing of the certificate:
a copy of the foundation act certified by a notary public or
a copy of received application for registration in the Registry of Legal Persons issued by the competent institution
Deposit certificate for the share capital HRK 50 + VAT
Use
They can be paid by domestic natural and legal persons and foreign natural and legal persons.
Foreign currency payments can be effected only by non-cash payment from a non-resident account (foreign legal or natural persons) in the Republic of Croatia or from a non-resident account (foreign legal or natural persons) abroad. Following the foundation, the share capital paid in a foreign currency can be transferred to a foreign currency transaction account.
Transfer of the share capital funds to transaction accounts in ZABA requires only a request for transfer in a free format signed by the representative of the newly established legal person. For a transfer to a transaction account opened with another bank in the Republic of Croatia, in addition to the Request, a copy of the Decision on entry in the competent Registry (Commercial Court/Registry of Associations…) and a copy of the signature form from the Bank with which the transaction account is opened are also required.
When submitting a request for the transfer of the share capital funds you should also submit the document indicating the change, e.g. a notarial act with the change of the name, a refusal of entry in a Registry, etc.
Reimbursement of the share capital funds is carried out only if it is not also effected on the basis of a written request of the investor or his authorised person with an attached power of attorney and mandatory other documents:
reimbursement if the registration procedure has not been initiated – original share capital payment receipt.
reimbursement if the registration procedure has been initiated – a decision on the rejection of the application for entry in the court registry or any of the specified registries depending on the type of legal person.
If the registration is carried out, and the business entity has not opened a transaction account or has been deleted from the court registry, a liquidation procedure is initiated.
